Explanatory Note: The following is an email communication made by Option Care Health, Inc. to Amedisys, Inc.’s employees on May 4, 2023.

Amedisys Team,

On behalf of my colleagues at Option Care Health, we look forward to joining with Amedisys to create a new and larger family. We have long respected Amedisys’ dedication to patients as a preeminent provider of high-quality healthcare in the home, and are honored to have you join us as we work to create a leading, independent platform for home and alternate site care.

This combination brings together Amedisys’, home health, hospice, palliative, hospital at home, and high-acuity care services with Option Care Health’s home and alternate site infusion services. Together, we have the opportunity to truly transform healthcare and the way that patients are served in the alternate site setting. And the strength of our combined platform will allow us to move deeper into a value-based care model, serving communities across the country and helping to benefit patients and their families, providers, payers, and care teams.

As we explored bringing our two companies together, I have had the opportunity to learn more about Amedisys and it is clear that we share many similar values. Like you, Option Care Health is a mission driven organization, passionate about delivering high-quality, affordable care to the patients we have the privilege to serve. I am energized by the opportunity to learn from one another and bring out the best of both of our organizations to deliver high quality healthcare, reduce costs, and deliver hope and dignity for patients and their families.

It's important to also emphasize that you are a critical factor to the success of this transaction and the positive impact we have on our collective patients. Option Care Health and Amedisys have successfully executed past strategic transactions and integrations, and we are confident that this process will be no different. Over the next several months, we will spend time learning more about your business and culture and we will develop a thoughtful integration plan that builds on our commonalities, leverages our complementary offerings, and improves outcomes. Until then, let me reiterate my excitement about our future together with this transaction.

Option Care Health’s purpose is to provide extraordinary care that changes lives. We understand that there is a loved one on the receiving end of every service we provide and together we will be in an incredible position to significantly expand the number of lives we have a positive impact on. Thank you in advance for your continued focus and dedication as we move forward together.

Sincerely,

John Rademacher

Option Care Health President and CEO
